The Event Organiser appoints Ents24 to promote and sell the right of admission to Events on behalf of the Event Organiser.
The transaction is handled electronically. Ents24 does not post physical tickets under this agreement.
Definitions
"The Event Organiser" means a supplier of tickets which may include a venue, performer, band or promoter.
"Ents24", "We" and "Us" means Ents24 Limited, a company registered in England no. 3927447 of 18 Whiteladies Road, Bristol BS8 2LG
"Allocation" means the proportion of your tickets which you choose to make available for sale through the Website.
"Chargeback" means a card transaction which is returned to Ents24 by the company that processes debit and credit card transactions on our behalf.
"Customer" means a person who has purchased E Tickets for an Event via our Website.
"Customer List" is the list of Customers that have purchased E Tickets for the Event.
"E Ticket" means rights to admission to the Event in the form of a unique booking reference number given to the Customer.
"Event" means the event advertised on our Website for which E Tickets are available to buy.
"Face Value" means the price of the ticket set by the Event Organiser, not including any booking fees due to Ents24.
"Website" means any website on which Ents24 makes tickets available for sale.
The Event Organiser Agrees
To have secured all necessary rights and permissions to make tickets for the Event available for sale through the Website.
That Ents24 may, at our discretion, remove any events from the website and discontinue sales for any events that don't meet our policies.
To provide accurate information about the Event and keep the information up-to-date. This information includes, but is not limited to, the date, start time, artists or performers appearing, venue, location, dress codes and age restrictions.
To inform Ents24 as soon a possible if an Event is cancelled, rescheduled or postponed.
To ensure that the Allocation of tickets that has been made available for sale on the Website is not sold via other method until they are removed for sale from the Website.
Not to print the Customer List until tickets have been taken off sale.
To treat Customers named on the Customer List as having the same rights as holders of physical tickets for the Event.
To permit entry to all Customers named on the Customer List along with the specified number of accompanying persons.
To indemnify Ents24 against the amount of any Chargebacks in relation to E Tickets for the Event.
To pay any VAT and other taxes due on the Face Value of the tickets.
That Ents24 will not guarantee any minimum level of ticket sales for the Event.
To allow Ents24 to subcontract any part of this agreement to a third party.
Ents24 Agrees
To make the Allocation of tickets specified by the Event Organiser available for sale through the Website.
To sell no more tickets for the Event than the number specified in the Allocation.
To obtain payment from the Customers for any E Tickets that they have purchased, and forward the Face Value to the Event Organiser in accordance with the Payment Terms below.
To ensure that any VAT due on the Booking Fees is paid.
To take reasonable measures to minimise the risk of Chargebacks resulting in fraudulent use of credit or debit cards.
To make every effort to ensure that the Website is available for Customers to purchase tickets. However, Ents24 is not liable for any losses caused by the website being unavailable.
Payment Terms
In addition to the Face Value, Ents24 may charge a Booking Fee in accordance with the table below which shall belong in its entirety to Ents24.
After the event has taken place, and on receipt of an invoice from the Event Organiser, Ents24 will forward the Face Value of the E Tickets sold to the bank account nominated by the Event Organiser within three working days. Please note that payments may take several days to clear.
Ents24 will make a maximum of one payment per week to the Event Organiser.
The Event Organiser is responsible for paying any receiving bank charges or international transaction fees.
Ticket Refunds
If the event is cancelled or postponed, or is subject to a significant change, such as a change of date, performers or venue, Ents24 will refund the Face Value of the tickets to the Customers and no payment will be made to the Event Organiser.
Before the event takes place, Ents24 may at its discretion refund customers who are unable to attend the Event due to exceptional circumstances.
Indemnity
The Event Organiser agrees to indemnify and keep indemnified Ents24 against all losses, costs, damages and liabilities incurred by Ents24 which are attributable either directly or indirectly to any act, default or omission on the part of the Event Organiser or due to any breach of this agreement.
